Exhibitor Space Rental Agreement

- Payment by check or credit card must be submitted with your mailed application. Checks should be made payable to NASDS.
Contractual Terms
By submitting an Exhibitor Space Rental Agreement, you agree to be bound by all the provisions of our Exhibit Space Rules and Usage Guidelines.
In addition you agree to the following provisions:
- Exhibitor warrants and represents that no music, literary or artistic work, or other property protected by copyright, will be performed, published, reproduced or used at the North American Shipwreck & Dive Show without the prior written permission of the copyright holder.
- Exhibitor warrants and represents that all goods offered for sale or on display by Exhibitor at the North American Shipwreck & Dive Show do not violate or infringe any trademark rights of any person.
- In the event that North American Shipwreck & Dive Show Inc., the Jewish Community Center or the North American Shipwreck & Dive Show are made a party to any legal action or administrative proceeding as a consequence or arising out of any item or product sold or displayed at the North American Shipwreck & Dive Show, the Exhibitor selling or displaying such item or product shall indemnify North American Shipwreck & Dive Show Inc., the Jewish Community Center, and the Show for any and all damages and expenses, including actual attorneys fees, incurred in defending or appearing in such proceedings (including all appeals and ancillary proceedings), including payment of any judgment or order for payment.
- Exhibitor, for itself, its owners, officers, directors, managers, members, employees, agents, representatives, licenses, invitees, patrons, and guests and their next of kin, personal representatives, heirs, and assigns ("Exhibitor"), hereby releases, waives, discharges and covenants not to sue North American Shipwreck & Dive Show Inc., its owners, members, officers, managers, employees, agents, representatives, or contractors ("NASDS") from any and all liability to Exhibitor for any and all loss or damage, and any claim, cause of action or demand for payment on account of injury to any person or property arising out of or related to the North American Shipwreck & Dive Show, whether caused by the negligence of NASDS or otherwise.
- Exhibitor waives any and all claims, causes of action and demands for damages against NASDS arising out of the enforcement of the Exhibit Space Rules and Usage Guidelines. Any violation of the Exhibit Space Rules and Usage Guidelines shall subject Exhibitor to cancellation of the Exhibit Space Rental Agreement and forfeiture of any monies paid on account thereof.
- Exhibitor is responsible for any and all liabilities, claims, demands, and causes of action on account of any injury or death or damage to property arising out of or connected to Exhibitor's participation in or presence at the North American Shipwreck & Dive Show which are caused by the acts or omissions of Exhibitor or its employees, agents, representatives, licensees, guests, patrons, invitees or contractors. Exhibitor shall defend, indemnify, and hold harmless NASDS from any and all claims, demands, causes of action, penalties judgments and liabilities of every kind and description (including costs and reasonable attorneys fees) for injury to and death of persons, and damage to and loss of property which are caused by, arise from or are related to Exhibitor's participation in or presence at the North American Shipwreck & Dive Show, any breach of this agreement, or from any act or omission of Exhibitor or its employees, agents, representatives, licensees, guests, patrons, invitees or contractors
- Exhibitor hereby agrees that this agreement extends to all acts of negligence of NASDS and is intended to be as broad and inclusive as is permitted by the laws of Michigan. If any portion of this agreement is held invalid, it is agreed that the remaining portions of the agreement shall continue in full force and effect. Any litigation concerning this agreement or the North American Shipwreck & Dive Show must be brought in the courts of Oakland County, Michigan, and must be commenced within one year after a claim or cause of action accrues, or be forever barred.
